Terms and Conditions for Stream Business Clients

These Terms and Conditions ("Agreement") are entered into between Stream and you as a business client ("Client") to provide ride-hailing services to your employees and clients using the Stream platform ("Services"). By accessing or using the Services, you agree to be bound by this Agreement and any additional policies, guidelines, or amendments to this Agreement that may be posted by Stream from time to time.

1. Eligibility

To be eligible to use the Services as a Stream Business Client, you must meet the following requirements:

  1. You must be a registered business with a valid tax identification number;
  2. You must have a valid payment method on file with Stream; and
  3. You must comply with all applicable laws and regulations governing the use of the Services.

2. Use of Services

As a Stream Business Client, you agree to:

  1. Use the Services in a lawful manner and for the benefit of your employees and clients;
  2. Ensure that all employees and clients using the Services are authorized to do so and comply with Stream's policies and procedures;
  3. Provide accurate and complete information to Stream, including information about the number of employees and clients authorized to use the Services and any specific requirements or preferences for the Services;
  4. Pay all fees and charges associated with the Services in a timely manner; and
  5. Cooperate with Stream in the event of any investigation or dispute related to your use of the Services.

3. Fees and Payment

To use the Services as a Stream Business Client, the Client must register a valid business credit card with Stream. After each ride, Stream will charge the Client's credit card for the fare and any applicable fees or surcharges. The Client agrees to maintain a valid credit card on file with Stream and to ensure that there are sufficient funds available to cover all charges. If the Client's credit card is declined, Stream may suspend or terminate the Client's access to the Services until the outstanding balance is paid in full.

4. Liability and Indemnification

Stream is not liable for any loss or damage arising from the use of the Services by the Client or its employees or clients. The Client agrees to indemnify and hold Stream, its affiliates, and their respective officers, directors, employees, and agents harmless from any and all claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from the Client's use of the Services or breach of this Agreement.

5. Confidentiality and Intellectual Property

As a Stream Business Client, you agree to maintain the confidentiality of all information provided to you by Stream or any passenger using the Services. You also agree to respect Stream's intellectual property rights, including its trademarks, logos, and other proprietary materials.

6. Termination

Stream may terminate this Agreement and suspend or terminate the Client's access to the Services at any time without notice or liability for any reason, including without limitation for breach of this Agreement or for any conduct that Stream, in its sole discretion, determines to be inappropriate or unacceptable.

7. Governing Law and Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws of the European Union, without giving effect to any choice of law or conflict of law provisions. Any dispute arising under or in connection with this Agreement will be resolved through mediation in accordance with the rules of the European Union. If mediation is not successful, the dispute will be resolved through arbitration in accordance with the rules of the European Union.

8. Entire Agreement

This Agreement constitutes the entire agreement between the Client and Stream with respect to the Services and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written. No waiver or modification of this Agreement will be valid unless in writing and signed by both the Client and Stream.

By using the Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to this Agreement, you may not use the Services. This Agreement may be updated by Stream from time to time without notice, and your continued use of the Services after any such updates will constitute your acceptance of the updated Agreement.

9. Data Privacy

Stream will collect and use personal information from the Client and its employees and clients in order to provide the Services. The Client agrees to comply with all applicable data protection laws and regulations and to obtain all necessary consents from its employees and clients for the collection, use, and disclosure of their personal information by Stream.

10. Insurance

Stream will carry liability insurance to cover accidents and incidents that occur during the provision of the Services. However, the Client is responsible for ensuring that its employees and clients are covered by their own insurance policies for any accidents or incidents that may occur during the use of the Services.

11. Force Majeure

Stream will not be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is due to circumstances beyond its reasonable control, including without limitation acts of God, acts of government, acts of war or terrorism, natural disasters, or other events beyond Stream's control.

12. Assignment

The Client may not assign or transfer this Agreement, in whole or in part, without the prior written consent of Stream. Stream may assign or transfer this Agreement, in whole or in part, to any third party without the Client's consent.

13. Notices

Any notices or other communications required or permitted under this Agreement must be in writing and sent to the address provided by the other party or as otherwise specified in this Agreement. Notices will be deemed to have been given on the date of delivery or, if delivery is not possible, on the date of first attempted delivery.

By using the Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to this Agreement, you may not use the Services. This Agreement may be updated by Stream from time to time without notice, and your continued use of the Services after any such updates will constitute your acceptance of the updated Agreement.

You can choose to limit the information we collect from you by adjusting your device settings or by not using the Stream platform. You may also request that we delete or update your information by contacting us using the information provided below.
